YelpAIO Service Agreement & Terms

Project Costs & Scope

All projected costs are based on our understanding of your needs and the provided timeline. Any modifications to features, including minor improvements, may result in additional expenses. To ensure accurate estimates, please confirm and specify all requirements during a face-to-face meeting.

Quotation Acceptance

By acknowledging a quotation, you agree to and accept YelpAIO’s policies and terms. Acknowledgment can be made orally, via email, by paying the initiation fee, or by signing the quote.

Client Responsibilities for Requirements

Clients must ensure that all necessities are included in quotations and that we fully comprehend their prerequisites. Clear guidelines and any precise information or desired progression must be provided. If such specifics are not provided promptly, we will proceed based on our current understanding, and significant discrepancies or ambiguities arising later may incur additional costs for adjustments. Therefore, it is crucial to explain every element of your webpage development to ensure accurate quotes.

Any nuances related to specific tasks must be clearly articulated and incorporated into the proposal beforehand to manage costs. We operate in good faith and rely on our clients to provide complete information at the time of quotation. YelpAIO is not liable for inconsistencies or imbalances caused by unclear requirements.

Project Timelines & Changes

Each project has a fixed number of hours. Minor changes may be accommodated within the prearranged time and will be considered on a case-by-case basis.

YelpAIO will make every effort to complete the project or requested changes within the stipulated timeframe. Reasonable delays are accepted if features or functions are re-envisioned or altered.

Any disruptions from the client's end may postpone the proposed project and timescales, potentially incurring additional expenses.

Payments & Refunds

Except at our absolute discretion or as required by applicable laws, we do not provide refunds or credit.

Bug Fixes & Rework

• Programming errors (bugs) identified during or immediately after development will not incur additional charges.

• Rework on an initially completed task will incur extra fees.

• Any changes to the layout will require an additional fee once acknowledged.

• Changes requested during progress or after "Go-Live" approval will accrue extra costs. All additional work will be charged separately. YelpAIO will not be held liable for disruptions resulting from modifications to the proposed project.
  

Content Submission

All website content and relevant materials must be received within the first two weeks of project work. Any potential or unexpected disruptions due to delayed content may cause project delays, and if they exceed a reasonable timeframe, additional charges may apply.

Browser & Device Compatibility

Our webpages are typically tested on PCs using the most recent versions of Internet Explorer, Firefox, Chrome, and Safari. Please inform us beforehand if you require testing on any other browser.

Responsive compatibility for webpages is tested using iPhones and iPads. If you wish to test on other devices, please inform us in advance.

Network & Hosting Considerations

If your webpage is not hosted on a Synapse server, any extra hours required due to network issues are not included in our quotes and will be charged separately.

Project Holds

Please note that any project stalled for more than two months will incur $99/week in administrative costs and has the potential to raise previously approved estimates. Placing a project on hold requires prior notice; otherwise, it will not be accommodated by the team.

When you formally place a project on hold with prior notice, there are no additional charges during the hold period. We will require updating the account before the project is put on hold, and a detailed discussion can be held if such a situation arises.

Software Ownership & Licensing

YelpAIO’s software codes (excluding open-source software) are protected by copyright. Once all outstanding receipts have been settled, the codes can be provided for your use at an extra cost. The codes are modified for reuse by the customer and are not permitted to be resold or duplicated under any circumstances.

YelpAIO retains copyrights to all codes written for any respective client. YelpAIO grants a license for the client’s exclusive use of any custom-made software. This license is granted as part of the hosting fee and cannot be transferred to any external host, nor is direct connectivity to the software codes permitted.

The website/application is carefully crafted using commercial-grade internet. The website may not perform optimally if implemented on an office network due to website traffic.

Third-Party Elements & Services

YelpAIO makes every effort to determine the appropriateness of any third-party elements; however, any unexpected constraints are beyond our control. Our estimates do not include purchase costs for SSL, Payment Gateways, Google AdWords, Plug-in licenses, and similar items.

YelpAIO accepts no liability for open-source options like WordPress, Open-Source Carts, Joomla, etc. It is the client's responsibility to keep all elements and third-party software up to date. To avoid disruptions, we recommend regular maintenance.

YelpAIO provides packages in collaboration with third-party vendors. Changes in the third-party provider’s rules and strategies may affect our services.

Delays

Delays can sometimes be unavoidable. As long as we make reasonable efforts to adhere to the proposed schedule, you will not penalize us for any unintentionally caused delays.

Domain & Hosting Management

Domain registration, renewal, and other related charges are not included in our project or proposal unless specifically stated. If a client requests these items, we will provide a separate estimate and obtain client approval.

Hosting fees are not included in the quotation. If necessary, YelpAIO can arrange an appropriate hosting solution, for which a separate quote will be provided and approved by the client. If clients choose to manage their web host, they must contact us before finalizing the type of web host and data system, as it must meet the specifications of our development technology. Please note that we will require full access to the server and hosting support to test and configure the application. YelpAIO will not be held responsible for any disruptions or errors caused by the direct or indirect actions of the hosting company.

YelpAIO typically tests internet sites on servers or domains hosted by us. YelpAIO cannot grant any third party direct access to their test server and websites. The webpage can be transferred to a designated third-party server after full payment of all invoices and dues.

Intellectual Property & Content Use

Regardless of any other provision in the agreement, upon full payment of any outstanding invoices, YelpAIO will grant an unconditional permit to the client to reproduce, publish, engage with, utilize, vary, or otherwise deal with the visual effects, writings, and photos used in the published webpage and associated form and functionality. This excludes intellectual property related to the creation of the website, such as internet advertising, active development, database structures, scripts, forms, or capabilities.

Communication

All communications and correspondence will be conducted via email. Therefore, clients must keep us updated on their current email addresses.
